1. Introduction
Thank you for choosing PostExchange. By accessing or using our Platform, you acknowledge and agree to these Terms, which govern your use of all services provided through PostExchange. If you do not agree, please do not use the Platform.
2. Definitions
- “Platform” — the PostExchange website, marketplace, and related services.
- “Publisher” — a user who lists a website on the Platform and accepts paid placements.
- “Advertiser” — a user who purchases placements on listed websites.
- “Listing” — a publisher’s website made available for placement orders.
- “Order” — an advertiser’s request for a placement on a specific listing.
- “Placement” — a published article, link, or other content delivered under an Order.
- “Content” — articles, links, briefs, comments, and other material provided by users.
- “Operational Funds” — advertiser deposits held by PostExchange pending order completion. See Section 7 for details.
- “Take Rate” — the platform commission on each order, if any, as disclosed at the time of the transaction.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements. By registering, you confirm that the registration details you provide are accurate, complete, and lawful.
4. Account Registration
You agree to maintain a single account, safeguard your login credentials, and remain fully responsible for any activity under your account. You must notify us immediately if you suspect unauthorized access.
5. Platform Role
PostExchange acts solely as a marketplace facilitator. We do not create, manage, or endorse user-submitted content. All transactions occur directly between publishers and advertisers; PostExchange is not a party to those transactions.
6. Marketplace Overview
Publishers may list websites, set pricing, define content guidelines, accept or reject orders, and review submissions.
Advertisers may browse listings, submit briefs, place orders, deliver content, and verify published placements.
7. Payments, Operational Funds, and Refunds
7.1 Payments
All payments through the Platform are processed in U.S. Dollars (USD) via PayPal. Advertisers fund their orders upfront. Publishers receive payouts via PayPal once an order is complete.
7.2 Operational Funds
When an advertiser places an order, the payment is held by PostExchange as operational funds until the order is completed, cancelled, or refunded. This holding period is sometimes informally referred to as “escrow.”
7.3 Payout Timing
Once an order is marked complete and any review period has elapsed, publisher payouts are released within 48 business hours.
7.4 Refunds
Refunds may be issued to advertisers in the event of missed deadlines, early content removal, or failure by the publisher to deliver the agreed placement. All refund requests are reviewed individually and subject to the Dispute Resolution process in Section 11.
7.5 Withdrawal Minimum
Publishers may withdraw available balance once it reaches the platform’s stated minimum threshold. Current threshold details are available on the Publisher Earnings dashboard.
8. Content Guidelines
All content submitted through the Platform must be:
- Lawful in the jurisdiction where the publisher operates.
- Original, or properly licensed.
- Free from harmful, explicit, hateful, or misleading material.
- Free from malware, phishing, or deceptive links.
Non-compliance may result in order rejection, account suspension, or termination.
9. Listing Accuracy
Publishers must provide accurate site metrics, traffic figures, and listing details. Misrepresenting any metric (Domain Authority, Domain Rating, organic traffic, niche, ownership) is grounds for suspension and forfeiture of any pending payouts.
10. Reviews
Reviews should reflect genuine experiences. Misleading, harassing, retaliatory, or incentivized reviews are not permitted. PostExchange may remove reviews that violate this policy.
11. Dispute Resolution
Disputes between users must be submitted within 30 days of the disputed event. PostExchange will review all relevant evidence — order details, communications, content, published placement status — and issue a final determination. PostExchange’s decision in marketplace disputes is binding for purposes of refund and payout adjudication only.
12. Intellectual Property
The Platform — including its software, design, brand assets, and content created by PostExchange is protected by copyright, trademark, and other applicable laws.
Users retain ownership of the content they submit. By submitting content, you grant PostExchange a limited, worldwide, royalty-free licence to host, display, transmit, and distribute that content as necessary to operate the Platform.
13. Prohibited Activities
You may not:
- Bypass the Platform or attempt to transact off-platform.
- Create or operate multiple accounts to manipulate metrics, reviews, or payouts.
- Engage in fraudulent, deceptive, or manipulative activity.
- Interfere with the Platform’s security, integrity, or functionality.
- Scrape, mirror, or systematically copy Platform data without written permission.
- Use the Platform to publish illegal, defamatory, or infringing material.
14. Liability and Warranty Disclaimer
The Platform is provided on an “As Is” and “As Available” basis. To the maximum extent permitted by applicable law, Postexchange explicitly disclaims all warranties of any kind.
15. Termination
You may close your account at any time via the account settings or by emailing support@postexchange.io. PostExchange may suspend or terminate accounts for violations of these Terms, fraudulent activity, or where required by law.
Provisions of these Terms that by their nature should survive termination (including Sections 7.4, 11, 12, 14, and 17) will survive.
16. Modifications
PostExchange may update these Terms periodically. Material changes will be communicated at least 30 days in advance via email to your account email address. Continuing to use the Platform after updates take effect signifies acceptance.
17. Governing Law
These Terms and any disputes arising out of or related to your use of the Platform shall be governed by, and construed in accordance with, the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in San Diego, California.
